Independent Director, Assurance and Market Governance
Deloitte East Africa · Nairobi
Job description
About the role
A large publicly listed enterprise in Kenya's energy, resources and industrials sector is seeking an Independent Non-Executive Director. This is a full Board appointment, not a purely technical one: the Director contributes to wider Board discussions on strategy, performance, risk and governance. The client is looking for a senior finance, audit, assurance or risk leader who can bring rigour to discussions on financial reporting, internal control, enterprise risk and market governance.
Key responsibilities
- Take an active part in the Board's oversight of strategy, performance, risk and governance, and question management constructively.
- Provide independent leadership and challenge on the Board's audit, assurance and financial-reporting responsibilities.
- Oversee the integrity of financial reporting and the effectiveness of internal control, internal audit, external audit and enterprise-risk arrangements.
- Advise the Board on disclosure, market governance and stakeholder confidence for a listed enterprise.
- Review the assurance implications of material investments, strategic initiatives and emerging risks.
- Serve on, and where appointed chair, the relevant Board committee.
- Exercise independent judgement, disclose directorships, interests, shareholdings and conflicts of interest, and support high standards of governance, accountability, disclosure and confidentiality.
Required profile
- Meet all statutory eligibility, independence, integrity, competence, time commitment and fitness to serve requirements for a listed issuer.
- Independence from the organisation, its management and significant shareholders, with no unresolved conflict.
- Degree in accounting, finance, business or a related field, plus a recognised professional qualification in accounting, auditing or finance.
- Substantial senior executive or Board-level experience in audit, financial reporting, finance leadership, assurance or enterprise risk within a listed, regulated or complex organisation.
- Demonstrated experience serving on, chairing or advising a Board audit, risk or assurance committee.
- Clear communication, sound judgement and collaborative approach; diverse perspective for the Board.
Required skills
- Strong working knowledge of financial reporting, internal control, external and internal audit, enterprise risk, disclosure and governance obligations.
- Evidence of credible engagement with auditors, regulators, investors or other external stakeholders.
- Added advantage: experience chairing an audit or risk committee, exposure to large regulated or capital-intensive organisations, and knowledge of sustainability reporting and assurance.
Applications close on 17 November 2026 via the online recruitment platform, with the prescribed form, declarations, a CV and proof of qualifications. Candidates are assessed against the role profile and Board skills requirements, then interviewed and subject to due diligence.
