Mergers & Acquisitions Associate – Nairobi

About the role

The Mergers & Acquisitions Associate will take day‑to‑day responsibility for managing corporate transactions and advisory matters, working closely with partners and senior associates. The role combines strong legal technical knowledge with research, analytical and drafting expertise, while also mentoring junior lawyers.

Key responsibilities

• Support corporate M&A transactions from inception to completion.
• Conduct legal due diligence, compile and present final reports outlining findings, risks and recommendations.
• Draft and review transactional documents such as share purchase agreements, shareholders’ agreements and ancillary documents.
• Advise clients on deal structuring, regulatory requirements and post‑transaction integration.
• Collaborate with internal teams and external counsel to ensure timely deal execution.
• Supervise, train and guide junior associates and paralegals on transactions.
• Build and maintain client relationships and contribute to business‑development initiatives.
• Stay updated on legal developments, market trends and regulatory changes affecting M&A in Africa.

Required profile

• LLB degree with strong academic record and admission to practice in Kenya.
• 3‑5 years post‑qualification experience in corporate or M&A practice at a top‑tier or medium‑sized law firm.
• Demonstrated ability to draft and negotiate transactional documents.
• Strong analytical, research and communication skills.
• Commercially minded with high attention to detail.
