In-house Counsel (Remote)

About the role

We are seeking a seasoned Corporate Attorney to join a fast‑growing technology platform as an In‑house Counsel. This remote, contract‑based role will provide legal guidance on corporate governance, compliance, and transactional matters, supporting the company’s expansion and operational needs.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service, partnership, and vendor agreements.
• Advise on corporate governance, including board and shareholder meetings, corporate policies, and regulatory compliance.
• Ensure adherence to data privacy, security, and other applicable laws and internal policies.
• Manage corporate filings, maintain minute books, stock ledgers, and corporate certificates.
• Provide legal support for mergers, acquisitions, and other corporate transactions as required.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum 5 years of corporate law experience, focusing on transactions and compliance.
• Proven ability to work independently in a remote environment.
