M&A Corporate Attorney (Remote)

About the role

We are seeking a contract M&A Corporate & Securities Attorney to support a global financial services leader. The role is fully remote and focuses on overseeing securities filings, corporate governance, and transactional compliance for high‑value deals.

Key responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Prepare and file SEC documents, including Forms S‑1, S‑3, 8‑K, and 10‑K.
• Advise on corporate governance matters and prepare board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Coordinate with external counsel, investment banks, and regulatory bodies.

Required profile

• Licensed attorney in good standing with a focus on securities law.
• Minimum five years of experience in M&A and corporate law.
• Proven ability to manage multiple deadlines in high‑pressure environments.

Required skills

• SEC filing expertise (Forms S‑1, S‑3, 8‑K, 10‑K).
• Due diligence for M&A transactions.
• Corporate governance compliance.
