Corporate Secretary (CS) and Employee Shareholder

About the role

The Corporate Secretary (CS) will lead corporate governance, regulatory compliance and board administration for Gamezon Space Corporation, a multinational e‑commerce firm based in Nairobi. As an employee shareholder, the CS will also contribute to long‑term value creation and ethical corporate conduct.

Key responsibilities

• Advise the Board on governance best practices and ensure compliance with bylaws, policies and Kenyan legislation.
• Organise and manage board meetings, AGMs, EGMs and committee sessions, preparing agendas, papers and minutes.
• Maintain statutory registers, corporate records and oversee timely filing of regulatory disclosures.
• Manage shareholder communications, dividend processes and share issuance, supporting investor relations.
• Support enterprise risk management, promote ethical standards and oversee whistle‑blower and conflict‑of‑interest reporting.
• Provide strategic governance advice to senior leadership.

Required profile

• Senior‑level professional with at least 10 years of experience in corporate governance, secretarial duties or related legal compliance.
• Proven experience supporting boards of directors and managing shareholder relations.
• Strong knowledge of Kenyan corporate law and familiarity with international regulatory environments.
• Excellent written and verbal communication skills and high ethical standards.
