Senior Legal Counsel – Governance & Shared Services

About the role

The Senior Legal Counsel – Governance & Shared Services will lead the development and maintenance of KCB Bank’s legal governance frameworks and oversee corporate contracts across the group. The role involves coordinating board activities, ensuring regulatory compliance for subsidiaries, and providing expert advice on corporate governance best practices. The successful candidate will hold an LLB, be an Advocate with CPS(K) status, and bring at least five years of relevant experience.

Key responsibilities

• Coordinate board meetings and ensure timely distribution of board papers.
• Develop and continuously review board policies, charters, terms of reference and internal governance documents.
• Prepare and review board packs, pre‑minutes, AGM materials and follow‑up on action points.
• Oversee subsidiary corporate records, ensuring regulatory compliance and alignment with best practices.
• Support onboarding of new directors, board induction programmes and board‑related activities.
• Monitor legislative developments and advise subsidiaries on corporate governance standards.
• Assist the Head Counsel in statutory filings, annual returns and board evaluations.
• Promote knowledge of governance principles across Kenyan subsidiaries and ensure accurate disclosures to regulators.

Required profile

• Bachelor’s degree in Law (LLB) and a Diploma in Law.
• Advocate status with CPS(K) registration.
• Minimum of five years post‑admission experience in company secretarial, corporate governance, and legal/regulatory compliance.
• Proven ability to prepare and review board documentation and manage corporate records.
• Excellent written and verbal communication skills with strong attention to detail.
• High integrity and ability to handle confidential information.
