In-house Counsel – Remote Corporate Attorney

About the role

We are seeking an experienced corporate attorney to join a leading technology platform as an in‑house counsel. Working remotely, you will provide strategic legal guidance on governance, compliance and transactional matters, helping the company scale safely.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service agreements, partnership agreements, and vendor contracts.
• Advise on corporate governance, including board and shareholder meetings, corporate policies, and compliance with state and federal regulations.
• Ensure adherence to applicable laws, regulations, and internal policies, with a focus on data privacy and security requirements.
• Manage corporate filings and maintain corporate records, including minute books, stock ledgers, and certificates.
• Provide legal support for mergers, acquisitions, and other corporate transactions as needed.

Required profile

• Juris Doctor (JD) degree from an accredited law school and active membership in a state bar association.
• Minimum of 5 years of experience in corporate law, focusing on transactional and compliance matters.
• Strong understanding of corporate governance, regulatory requirements, and compliance frameworks.
• Ability to work independently in a remote environment with minimal supervision.
