In-house Counsel – Remote Corporate Attorney

About the role

We are seeking an experienced corporate attorney to join a fast‑growing technology platform as an In‑house Counsel. This fully remote contract role will provide strategic legal guidance on governance, compliance, and transactional matters.

Key responsibilities

• Draft, review, and negotiate commercial contracts such as service, partnership, and vendor agreements.
• Advise on corporate governance, including board and shareholder meetings, regulatory compliance, and policy development.
• Ensure adherence to data privacy, security, and other applicable laws.
• Maintain corporate filings, minute books, stock ledgers, and certificates.
• Support mergers, acquisitions, and other corporate transactions as needed.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum 5 years of corporate law experience with a focus on transactions and compliance.
• Proven ability to work independently in a remote environment.

Required skills

• Expertise in drafting and negotiating complex commercial contracts.
• Strong knowledge of corporate governance and regulatory requirements.
• Experience managing corporate records and filings.
