Investment Funds Attorney (Remote)

About the role

We are seeking a Funds Attorney on a contract basis to provide legal guidance for fund formation, compliance, and transactional matters. The attorney will support investment funds across various asset classes and structures for a global leader in investment management.

Key responsibilities

• Draft, review, and negotiate fund documents such as limited partnership agreements, side letters, and subscription agreements.
• Advise on regulatory compliance under securities laws, ERISA, and tax regulations.
• Conduct due diligence for fund investments and identify potential conflicts of interest.
• Assist with fund closings, capital calls, and distributions.
• Monitor regulatory developments to ensure fund operations align with legal requirements.

Required profile

• Admission to practice law in a U.S. jurisdiction.
• At least 3 years of experience in funds or investment management law.
• Strong analytical and problem‑solving abilities with attention to detail.

Required skills

• Fund formation and transactional documentation.
• Regulation D, Regulation S, and Rule 10b‑5 compliance.
• ERISA and tax regulation knowledge.
• Securities law expertise.
