Remote In-house Counsel – Corporate Attorney

About the role

We are seeking a seasoned corporate attorney to join a leading technology platform as an in‑house counsel. Working remotely, you will provide legal guidance on corporate governance, compliance, and transactional matters to support the company’s growth.

Key responsibilities

• Draft, review and negotiate commercial contracts such as service, partnership and vendor agreements.
• Advise the board and management on corporate governance, shareholder meetings and regulatory compliance.
• Ensure adherence to data privacy, security and other applicable laws.
• Maintain corporate filings, minute books, stock ledgers and corporate certificates.
• Support mergers, acquisitions and other corporate transactions as needed.

Required profile

• Juris Doctor degree from an accredited law school.
• Active membership in a state bar.
• Minimum five years of experience in corporate law with a focus on transactions and compliance.
• Proven ability to work independently in a remote environment.
