Corporate Attorney – Remote M&A Specialist

About the role

We are seeking a seasoned Corporate Attorney to join our global technology leader on a remote basis. The role focuses on M&A transactions, ensuring robust legal support from deal structuring through post‑merger integration.

Key responsibilities

• Draft, review and negotiate definitive agreements and ancillary transaction documents such as SPAs and asset purchase agreements.
• Conduct comprehensive legal due diligence for mergers, acquisitions and divestitures.
• Advise internal teams on corporate governance, securities law, regulatory compliance and risk allocation.
• Coordinate with cross‑functional stakeholders to align legal strategy with business objectives.
• Provide guidance on transaction structure, deal terms and post‑deal integration.

Required profile

• Admission to practice law in at least one U.S. jurisdiction with proven M&A experience.
• Demonstrated ability to draft and negotiate complex M&A agreements.
• Strong analytical, problem‑solving and detail‑orientation skills.
• Self‑motivated, capable of managing multiple priorities in a fast‑paced environment.
