Governance and Regulatory Manager

About the role

The Governance and Regulatory Manager will oversee the organisation's governance framework, ensure regulatory compliance, and support company secretarial functions. This role is pivotal in maintaining statutory and regulatory standards while facilitating effective board operations.

Key responsibilities

• Monitor legislative and regulatory changes and keep senior management informed.
• Maintain accurate minutes and records of board and annual general meetings.
• Arrange board meetings and AGMs, drafting agendas and timetables.
• File statutory declarations and ensure timely regulatory reporting.
• Maintain up‑to‑date registers of directors and company secretary.
• Assist the Company Secretary in preparing and disseminating board papers.
• Review governance documents regularly and plan training for directors on corporate governance duties.
• Provide advice on governance matters through the Company Secretary.

Required profile

• Minimum 7 years of experience in legal work and company secretarial practice.
• In‑depth knowledge of the regulatory environment and key guidelines.
• Broad experience in financial services, focusing on corporate governance, regulatory reporting and compliance.
• Bachelor’s degree in Law and qualification as an Advocate of the High Court.
• Professional certification in company secretarial practice.
