Senior Legal Counsel, Governance & Shared Services

About the role

The Senior Legal Counsel will lead governance and shared‑services functions for KCB Bank Kenya and its subsidiaries. This role ensures board processes, corporate policies and regulatory compliance are up to date and aligned with best practices.

Key responsibilities

• Coordinate board meetings, prepare board papers, pre‑minutes and AGM documentation.
• Develop, review and update board policies, charters, terms of reference and governance frameworks.
• Maintain subsidiary corporate records and ensure regulatory compliance across Kenyan and non‑Kenyan entities.
• Support onboarding of new directors, organise board induction programmes and manage board‑related activities.
• Monitor legislative developments and advise subsidiaries on corporate governance best practices.
• Assist in preparing quality board packs, annual work plans and statutory returns within required timelines.
• Provide information disclosures to regulators and stakeholders in accordance with applicable laws.

Required profile

• Bachelor’s degree in Law and a Diploma in Law (CPS(K) preferred).
• At least 5 years of post‑admission experience in company secretarial, corporate governance, and legal/regulatory compliance.
• Excellent written and verbal communication skills with high attention to detail.
• Integrity, ability to handle confidential information and work effectively in a team.
