In-House Legal Counsel & Company Secretary

About the role

WTS Energy is looking for an experienced In‑House Legal Counsel who will also serve as Company Secretary. Based in Nairobi and reporting to the Group CEO, the role covers legal, commercial, regulatory and corporate governance matters across the group’s upstream oil & gas, waste management and subsidiary operations.

Key responsibilities

• Provide practical legal advice on corporate, commercial, regulatory, employment and operational issues.
• Draft, review and negotiate commercial, procurement, service and other business contracts.
• Manage litigation, claims, disputes and arbitration, coordinating external advocates.
• Act as Company Secretary – organise board and shareholder meetings, minutes, resolutions and statutory filings.
• Monitor legal and regulatory compliance, licences, permits and statutory obligations.
• Support upstream oil & gas activities, joint ventures, SPVs and related entities.
• Maintain relationships with external legal advisers and control legal costs.

Required profile

• LLB degree and Advocate of the High Court of Kenya.
• Current membership of the Law Society of Kenya.
• Qualified Company Secretary or member of the Institute of Certified Secretaries.
• Minimum 7 years post‑qualification experience in commercial contracts, litigation and corporate governance.
• Experience in energy, oil & gas or regulated sectors is highly advantageous.
