Corporate Secretary & Employee Shareholder

About the role

The Corporate Secretary (CS) will lead corporate governance, regulatory compliance and board administration for a fast‑growing multinational e‑commerce firm. As an Employee Shareholder, the CS also aligns governance duties with long‑term shareholder value and ethical conduct.

Key responsibilities

• Advise the Board on governance best practices and monitor legislative changes.
• Organise and document board meetings, AGMs, EGMs and support board committees.
• Ensure timely filing of statutory returns, maintain corporate registers and liaise with regulators in Kenya and abroad.
• Manage shareholder communications, dividend processes and share issuance.
• Support enterprise risk management, ethics programmes and whistle‑blower reporting.
• Provide strategic governance advice to the CEO and executive team, especially for multinational expansion.

Required profile

• Bachelor’s degree in Law, Business Administration, Corporate Governance or related field.
• Certified Public Secretary (CPS‑K) qualification or equivalent.
• Membership in a recognised professional body (e.g., Institute of Certified Secretaries – Kenya).
• Proven senior‑level experience in corporate governance, board administration or legal compliance.
