M&A Corporate Attorney (Remote)

About the role

We are seeking an experienced M&A Corporate & Securities Attorney to join a leading financial services client on a contract basis. The role is fully remote and focuses on overseeing securities filings, corporate governance, and transactional compliance for high‑value deals.

Key responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Prepare and file SEC documents such as Forms S‑1, S‑3, 8‑K, and 10‑K.
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as required.

Required profile

• Licensed attorney in good standing with a focus on securities law.
• Minimum five years of experience in M&A and corporate law, including SEC filing expertise.
• Proven ability to manage multiple deadlines in high‑pressure transactional environments.

Required skills

• SEC filing expertise (Forms S‑1, S‑3, 8‑K, 10‑K).
• Drafting and negotiation of M&A agreements and related transactional documents.
