Vice President, Corporate & Commercial Counsel

About the role

The Vice President, Lead Corporate and Commercial Counsel will serve as the senior in‑house lawyer for Entertainment Partners and Central Casting. Reporting to the General Counsel, this leader will combine commercial acumen with rigorous legal judgment to protect and advance the company’s interests across technology, SaaS, vendor, and corporate matters.

Key responsibilities

• Negotiate, draft, and manage customer‑facing technology and SaaS agreements as well as vendor and supplier contracts, overseeing a team of contract professionals.
• Provide in‑house counsel for corporate governance, including entity maintenance, corporate filings, and resolutions across multiple jurisdictions.
• Partner with General Counsel and external counsel on mergers and acquisitions, strategic initiatives, due diligence, deal structuring, and post‑closing integration.
• Act as the primary legal contact for designated business units (e.g., CASHet, EP UK/ANZ), delivering agreement review, legal research, and compliance guidance.
• Lead, mentor, and develop a small team of corporate and commercial attorneys, fostering a collaborative and high‑performing culture.

Required profile

• Licensed attorney with extensive experience in corporate and commercial law, preferably within technology‑focused or entertainment environments.
• Demonstrated ability to balance risk management with commercial objectives and to influence senior stakeholders.
• Proven track record in negotiating complex technology, SaaS, and vendor agreements.
• Experience handling corporate governance, filings, and M&A transactions across jurisdictions.
• Strong leadership and team‑building skills.
