Corporate Attorney - M&A (Remote)

About the role

We are seeking an experienced Corporate Attorney specialized in Mergers & Acquisitions to join a global technology leader on a contract basis. This fully remote position offers the opportunity to shape high‑value corporate transactions, from strategic partnerships to full acquisitions.

Key responsibilities

• Draft, review, and negotiate merger agreements, asset purchase agreements, and related transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise internal teams on corporate governance, board and shareholder matters, and regulatory compliance.
• Structure and document corporate reorganizations, joint ventures, and strategic alliances.
• Coordinate with external counsel, internal stakeholders, and regulatory bodies to ensure smooth transaction execution.

Required profile

• Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
• Minimum five years of experience practicing corporate law with a focus on M&A.
• Proven ability to manage multiple complex projects with minimal supervision.

Required skills

• Strong drafting and negotiation skills for transactional documents.
• Proficiency with legal research tools such as Westlaw and LexisNexis.
