Senior Paralegal – Corporate & Real Estate

About the role

Arnold & Porter is looking for a Senior Paralegal to support its Corporate and Real Estate Practice Groups. The role will be based in one of our U.S. offices and will work closely with attorneys and practice specialists on complex transactions.

Key responsibilities

• Provide transactional support for corporate, finance, and real‑estate deals, including due diligence, document preparation, closings, and post‑closing activities.
• Prepare and file entity formation documents, annual reports, blue‑sky filings, and other corporate governance paperwork.
• Maintain capitalization tables, equity incentive plans, and board/stockholder approvals for venture‑capital financings.
• Prepare and file UCC‑1, UCC‑3 statements and conduct related lien searches.
• Research real‑property records, obtain title documents, and assist with real‑estate closings.

Required profile

• Significant experience in corporate governance, entity management, and commercial real‑estate matters.
• Demonstrated ability to manage complex transaction workflows with high attention to detail.
• Strong organizational and communication skills, capable of coordinating multiple stakeholders.
