Associate Advocate (Commercial & Litigation)

About the role

Waruiru Advocates is seeking a motivated Associate Advocate to join its legal team in Westlands, Nairobi. The role involves supporting partners in both commercial and litigation matters, ensuring high‑quality legal services for corporate clients.

Key responsibilities

• Negotiate, draft, and review commercial contracts and ensure proper execution.
• Conduct due diligence on conveyancing transactions, prepare sale agreements and completion documents, and oversee registration.
• Draft legal opinions and maintain a legal opinion database.
• Perform legal research on assigned matters and support partners with findings.
• Oversee filing and registration of intellectual‑property applications.
• Assist with IP due diligence related to contracts and transactions.
• Form legal entities, prepare organizational documents, and ensure statutory compliance.
• Provide advice on commercial and corporate transactions, including security documents.
• Participate in client interviews, gather relevant information, and manage documentation.
• Research, prepare pleadings and motions, negotiate settlements, and draft settlement agreements.
• Attend and conduct hearings at all court levels and keep clients updated on case progress.

Required profile

• 2‑5 years of experience in commercial law, conveyancing, intellectual‑property matters, and litigation.
• Ability to draft and negotiate contracts, agreements, and security documents.
• Proven competence in legal research, opinion writing, and maintaining databases.
• Strong communication skills for client interaction and courtroom representation.
