Of Counsel – M&A Litigation (Business & Commercial)

About the role

This senior Of Counsel position joins a leading global law firm’s Business & Commercial Litigation practice in New York. The role focuses on complex post‑closing M&A indemnity and representations & warranties insurance disputes, providing strategic leadership for high‑value commercial matters.

Key responsibilities

• Handle complex M&A post‑closing indemnity disputes.
• Advise on representations and warranties insurance disputes.
• Analyze M&A transaction documentation and calculate damages.
• Develop and execute case strategy across sophisticated commercial disputes.
• Manage fact development, depositions, and discovery processes.
• Draft and review briefs, motions, memoranda, and discovery responses.
• Collaborate with experts on complex damages and transactional issues.
• Communicate directly with clients throughout matters.
• Supervise and mentor associates.

Required profile

• 8+ years of relevant litigation experience.
• Significant experience with M&A post‑closing indemnity disputes and/or representations and warranties insurance disputes.
• Strong ability to analyze M&A transaction documentation.
• Excellent research, analytical, and writing skills.
• Strong communication and interpersonal abilities.
• Proven project‑management and organisational capabilities.
• Admission to practice in the relevant jurisdiction.
