Senior Legal Counsel, Governance & Shared Services

About the role

The Senior Legal Counsel will support the Head Counsel, Governance & Shared Services in overseeing corporate governance, board administration, and regulatory compliance across KCB Group subsidiaries in Kenya.

Key responsibilities

• Coordinate board meetings, ensure timely distribution of board papers, and support board induction programs.
• Develop, review and maintain board policies, charters, terms of reference, governance policies and internal documents to ensure compliance with laws and best practices.
• Monitor and ensure subsidiary corporate records and regulatory compliance, including preparation of annual work plans and statutory returns.
• Provide advice on corporate governance practices, prepare board packs, pre‑minutes, and assist with AGM preparation.
• Support board evaluations, performance appraisals and respond to information requests from internal and external stakeholders.

Required profile

• Bachelor’s Degree in Law and a Diploma in Law (CPS(K)).
• At least 5 years of post‑admission experience in company secretarial, corporate governance and legal/regulatory compliance.
• Excellent written and verbal communication, high attention to detail, teamwork, integrity and ability to handle confidential information.

Required skills

• Knowledge of Kenyan corporate law and governance standards.
• Experience with board administration, statutory filing and regulatory disclosures.
