Junior Legal Counsel & Company Secretary (Oil & Gas / Renewable Energy)

About the role

We are seeking a Junior Legal Counsel who will also serve as Company Secretary, providing practical legal advice across corporate, commercial, regulatory and operational matters within the oil & gas and renewable energy sectors.

Key responsibilities

• Provide legal advice to management on corporate, commercial, regulatory, employment and operational issues.
• Draft, review and negotiate commercial, procurement, service and other business contracts.
• Support litigation, claims, disputes and arbitration, coordinating external counsel.
• Act as Company Secretary: prepare board and shareholder meeting documents, minutes, resolutions and maintain statutory registers.
• Monitor legal and regulatory compliance, including licences, permits and statutory obligations.
• Assist subsidiaries, SPVs and joint ventures on corporate, contractual and regulatory matters.

Required profile

• LLB degree and Advocate of the High Court of Kenya.
• Current membership of the Law Society of Kenya.
• Qualified Company Secretary or member of the Institute of Certified Secretaries.
• Minimum 4 years’ experience as a Legal Counsel in renewable energy, oil & gas, mining or waste management.
• Strong experience in commercial contracts, litigation, corporate governance and regulatory compliance.
