VP, Lead Corporate and Commercial Counsel

About the role

Entertainment Partners and Central Casting are seeking a Vice President Lead Corporate and Commercial Counsel to provide strategic legal guidance across a fast‑moving entertainment business. The role combines commercial acumen with strong legal judgment to support the company’s growth and risk management.

Key responsibilities

• Lead negotiation, drafting and management of customer‑facing technology and SaaS agreements and vendor/supplier contracts.
• Oversee contract review, drafting and template management for the legal team.
• Provide in‑house counsel for corporate governance, including entity maintenance, corporate filings and resolutions across multiple jurisdictions.
• Partner with General Counsel and external counsel on mergers and acquisitions, strategic initiatives, due diligence, deal structuring and post‑closing integration.
• Serve as primary legal contact for designated business units (e.g., CASHet, EP UK/ANZ, tax incentives), delivering agreement review, legal research and compliance guidance.
• Manage, mentor and develop a small team of corporate and commercial attorneys and contract professionals.

Required profile

• Qualified attorney with extensive experience in corporate and commercial law, preferably within technology‑focused or entertainment environments.
• Proven track record of negotiating and drafting complex technology, SaaS, and vendor agreements.
• Strong understanding of corporate governance, entity management and cross‑jurisdictional filings.
• Experience supporting M&A transactions and strategic business initiatives.
• Demonstrated leadership ability to build trust quickly and manage a high‑performing legal team.
